Legal
Terms of service
Effective 15 October 2026.
These terms cover the Hooxie website and, together with the License Agreement, the Hooxie widget. Hooxie is a Delexo product (hooxie.com, @delexo). By using either, you agree to these terms and to that agreement. If they conflict, the License Agreement controls, except that the privacy policy controls on privacy practices and the refund policy controls on refund timing and amount.
The service
Hooxie is a Windows desktop widget that sends a prompt to a coding agent, including a Cursor agent when you provide a key and choose a folder. You choose the folder. You are responsible for what the agent reads, edits, and runs there.
Pro
Hooxie is $5.99 once for this computer, billed by Stripe. There is no renewal. A promotional code, if you have one, is entered at checkout and applies only as that code allows. Taxes may be added by Stripe. Sharing the app or the license file does not unlock another computer.
Your account
The email you enter is the address for receipts. Keep your Cursor key and your computer access to yourself. You will not use Hooxie to break the law, to attack systems you do not have permission to use, or to hide activity that violates someone else's rules when you are not allowed to do that.
Screen share
Undetectable mode asks Windows to leave Hooxie out of standard screen capture. It is not a promise that every tool, person, or future Windows change will fail to see the window.
Stopping
The license stays on the computer that bought it. The refund page explains the refund window.
The software
Hooxie is provided as it is. Prompts and files you attach are sent to the agent service you configure. We do not promise uninterrupted access, a particular model result, or that an agent edit is correct. To the extent the law allows, Hooxie's liability for a claim is limited to the amount you paid for this computer's license.
Changes
These terms can be updated by posting a new version on this page. Continued use after the new date means you accept the update.

Privacy policy
Effective 16 October 2026.
This page says what Hooxie handles, and what stays on your computer.
On your computer
The widget, your prompts, attached files, voice text, and screen shots are handled locally and then sent to the agent you configured, such as Cursor with your own API key. Hooxie's website does not receive the text of your prompts. Project files are not uploaded to the Hooxie site.
What we receive
- The email address you type for billing, which Stripe stores as the customer email.
- Whether this computer's one-time payment is complete, the payment amount, and the promotional code Stripe redeems. Card numbers go to Stripe, not to Hooxie.
- Messages you email to support.
Payments
Stripe processes the one-time payment. Their privacy policy covers card data, receipts, and fraud checks. Hooxie uses that information to know whether this computer is licensed and to apply a promotional code.
What we do not do
We do not sell your data. We share information only with the services we use to run Hooxie, such as Stripe for payment and the agent you choose, and with the service that delivers a support email. We do not share it any further than those services, except when the law requires a disclosure. We do not use your prompts to train a model. We do not put an advertising tracker on this site.
How long
Stripe keeps billing records for as long as their policy and the law require. A support email is kept long enough to answer it and handle a follow-up. You can ask us to delete a support thread.

Refund policy
Effective 12 October 2026.
The plan
Hooxie is $5.99 once for the computer that bought it. There is no renewal. A refund request does not, by itself, move that license to another device.
14 days
If the $5.99 charge was a mistake, email support@delexo.store within 14 days of that charge. Include the email on the Stripe receipt. We refund that charge. There is no renewal.
Promotional codes
A promotional code is entered at checkout and applies only as that code allows. It can change the amount due. The 14-day window applies to the amount Stripe actually charged.
How a refund is sent
Refunds go back through Stripe to the original payment method. Stripe's timing applies, often a few days and sometimes longer for the bank.
Hooxie License Agreement
Effective 15 October 2026. The installer shows this same agreement before setup finishes.
Reading aid
The numbered sections are the contract. If this list and a numbered section differ, the numbered section controls.
- One paid license unlocks one computer. Copying the app or the license file does not unlock another computer.
- Hooxie does not replace a Cursor plan, a Cursor account, or any other agent service you connect.
- The Software is provided as is. We do not promise that an agent edit is correct, that the window will stay hidden, or that the Software will keep working after Windows or Cursor changes.
- Our liability for a claim about a computer's license is limited to the amount you paid for that license, except where the law does not allow that limit.
- You are responsible for prompts, files, screens, voice, and for rules set by schools, employers, exam administrators, and other services.
- Most disputes go to individual arbitration, not a class action, unless you opt out within 30 days or a mandatory consumer law says otherwise.
This Hooxie License Agreement (the "Agreement") is a binding contract between Delexo ("Delexo," "we," "us," or "our") and the person or entity that downloads, installs, pays for, accesses, or uses Hooxie, the hooxie.com website, or related installers, updates, and services (the "Software"). "You" and "your" mean that person or, if you accept for an organization, that organization and the individual who accepts.
Hooxie is a Windows desktop product published by Delexo at https://hooxie.com. Support: support@delexo.store. The same text is posted at https://hooxie.com/license.
READ THIS AGREEMENT. IT LIMITS WARRANTIES, LIMITS OUR LIABILITY, REQUIRES YOU TO COVER CERTAIN CLAIMS AGAINST US, AND SENDS MOST DISPUTES TO INDIVIDUAL ARBITRATION UNLESS YOU OPT OUT IN TIME. IT ALSO SAYS THAT YOU, NOT DELEXO, ARE RESPONSIBLE FOR WHAT A CODING AGENT READS, CHANGES, AND RUNS, AND FOR ANY USE OF A WINDOW THAT IS LEFT OUT OF A SCREEN CAPTURE.
If you do not agree, do not download, install, buy, or use the Software. If you already installed it, stop using it and uninstall it.

1. Acceptance
1.1. You accept this Agreement when you do any of the following: click to agree, install or run the Software, complete checkout, create or store a license on a computer, or keep using the Software after we post an updated Agreement.
1.2. The installer shows this Agreement before setup finishes. If you do not accept it there, setup does not continue.
1.3. We offer the Software only if you accept. There is no use outside this Agreement.
1.4. You agree that electronic acceptance is the same as a signature under the United States Electronic Signatures in Global and National Commerce Act (E-SIGN), 15 U.S.C. section 7001 and following, the Uniform Electronic Transactions Act, and similar laws. You consent to receive this Agreement, receipts, and legal notices in electronic form.
2. Who This Binds
2.1. You must be at least 18 years old, or the age of legal majority where you live, whichever is higher. The Software and the Website are not directed to children under 13. You must not let a child under 13 use them or send us a child's personal information. If you are under 18, do not accept this Agreement.
2.2. If you use the Software for a company or other organization, you represent that you can bind it. "You" then includes that organization. If you lack authority, you must not accept. If you use the Software anyway, you accept personally.
2.3. You may not accept this Agreement, buy a license, or use the Software if you are barred under the export and sanctions section, or if a court or government order prohibits you from doing so.
2.4. This Agreement gives you a copyright license. It is not a sale of goods except to the extent a mandatory consumer law treats digital content as goods. Title to the Software does not pass to you.
3. Definitions
"Agent" means a coding assistant or model service you choose to receive a prompt, including a Cursor agent when you connect Cursor.
"Capture exclusion" means a Windows setting, including a display-affinity or exclude-from-capture flag, that asks Windows to leave the Hooxie window out of ordinary screen capture. In the product this is the state in which Detectable is off. Marketing text sometimes calls that state undetectable mode.
"Computer" means the single Windows device identified for licensing as described in section 6.
"Cursor" means the Cursor desktop application, account, and related services offered by Anysphere, Inc. or its affiliates. Cursor is a third-party product. Delexo does not own it and does not speak for it.
"Device identifier" means a one-way hash of the Windows MachineGuid, used to tie a license to one Computer. The hash is not your name.
"Input" means anything you or your Computer submit through the Software, including prompts, keystrokes, files, folder paths, clipboard contents, voice audio or transcribed speech, screenshots, screen descriptions, project files the Agent reads, and settings.
"Output" means text, code, diffs, tool actions, or other results returned by an Agent or produced from Input.
"License file" means the local record, including license.json, that stores the proof that this Computer is licensed.
"Paid license" means the one-time right, after a successful Stripe checkout or a promotional code that Delexo honors, to use the licensed features on one Computer.
"Stripe" means Stripe, Inc. and its affiliates, which process payment.
"Website" means hooxie.com and the pages Delexo serves for Hooxie, including terms, privacy, refunds, help, and this Agreement.
4. What Hooxie Is
4.1. Hooxie is a Windows overlay that keeps a prompt on the display and can send Input to an Agent you configure. It can attach files, refer to a project folder, use a microphone for voice, and include screen context when you turn that on. It runs on your Computer. A local page is served on the loopback address http://127.0.0.1:47321 for the overlay and related local functions.
4.2. Hooxie is an interface. It is not the Agent, not a model provider, and not a substitute for your own review of code. The Agent can read, edit, and run things in a folder you select. You choose that folder. You are responsible for what the Agent reads, edits, and runs there.
4.3. A paid license is a limited copyright license. It is not a sale of our intellectual property and not an assignment of any right except the limited rights in section 5. We reserve every right we do not expressly grant.
4.4. Features can differ by version, by Windows build, by what Cursor or another Agent allows, and by whether this Computer has a paid license. Descriptions on the Website, in a demo, in a video, or in a conversation explain the product in ordinary language. They are not a warranty, a service-level agreement, or a promise that a particular capture tool, proctoring product, remote-desktop product, or future operating-system change will behave in a particular way. A statement that a normal screen share does not see the window describes the intended Windows capture flag. It is not a promise that every tool, person, camera, or later Windows change will fail to see the window.
4.5. The price of a paid license is 5.99 United States dollars once for one Computer, unless a promotional code changes the amount Stripe charges. Taxes may be added. There is no subscription and no renewal of that charge. The paid license does not include a Cursor subscription, model usage, API usage, or any other third-party fee.
4.6. Node.js 22.13 or newer is required unless a given installer states otherwise. You are responsible for installing the system software the version you use requires.
4.7. If you have trouble using the Website with assistive technology, email support@delexo.store with the page address and the tool you use. We will use that report to try to remove the barrier. That process does not waive a non-waivable accessibility right, and it is not a representation that the Website conforms to a named technical standard.
5. License Grant
5.1. If you comply with this Agreement, Delexo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and run the object code of the Software on one Computer for your own use, for as long as this Agreement allows.
5.2. If you have not bought a paid license for that Computer, you may install the Software only to the extent that build still runs before payment. Delexo may require a paid license before features run. A shared License file, a shared receipt, or a copied application folder does not create a second paid license.
5.3. This license does not include the right to offer Hooxie as a service to others, to rent or lease it, to use it as the engine of a product you sell, or to present yourself as the publisher of Hooxie.
5.4. Any right not granted in this section requires a separate written license from Delexo. Ask at support@delexo.store.
5.5. The license lasts until it ends under section 40. It is not exclusive to a territory. We may license the Software to anyone else.
6. One Computer
6.1. A paid license is bound to one Computer. The Software derives a Device identifier from the Windows cryptography MachineGuid and checks a signed License file on that Computer. The check is local. A License file copied to another computer fails the check because the Device identifier will not match.
6.2. You will not bypass, patch, or share around that check. You will not publish a License file, a license-signing secret, a checkout session used to mint licenses for other people, or a method whose purpose is to unlock a Computer that was not paid for. Circumventing a technical measure that controls access to a paid feature can violate the Digital Millennium Copyright Act, 17 U.S.C. section 1201, and similar laws. This section does not forbid a reverse-engineering right that a statute gives you and that cannot be waived, and then only to the extent of that statute.
6.3. The paid license does not travel with a disk image, a copied folder, or a hardware or Windows change that changes MachineGuid, unless we agree in writing to reissue it. Reissue is discretionary, may require proof of the original purchase, and is never a right to run one purchase on two Computers at the same time.
6.4. You will keep the License file and any local secret to yourself. You are responsible for activity under that license, including activity by another person who uses your Windows session.
6.5. A virtual machine, a second boot, or a reinstall that produces a different MachineGuid is a different Computer and needs its own paid license if you want the paid features there.
6.6. The license is not a floating license, not a site license, and not a per-seat license. If several people use the Computer, you are responsible for all of them.
7. Restrictions
Except where a statute forbids the restriction, you will not, and will not allow anyone else to:
(a) copy the Software except for one backup of the Computer that holds the paid license, and that backup may not be run as a second licensed Computer;
(b) distribute, publish, sublicense, sell, lend, or lease the Software or a License file;
(c) modify the Software, or make a derivative work, in order to defeat licensing, the disclosures about Capture exclusion, or this Agreement;
(d) reverse engineer, decompile, or disassemble the Software, except for the narrow interoperability right a law gives you after you have asked us in writing and we have not provided the needed information within a reasonable time;
(e) remove a copyright, license, trademark, or attribution notice;
(f) use the Software to bulk-extract Output in order to train a model where the Agent's terms forbid that;
(g) use our names, logos, or trade dress except for the credit in section 9, or register a confusingly similar name, domain, or handle for software;
(h) state or imply that Delexo sponsors, employs, or endorses you, your coursework, your employer, or your product;
(i) use the Software in violation of section 17, section 18, or section 19;
(j) benchmark the Software and publish the results in a way that misrepresents Capture exclusion as a guarantee of invisibility.
8. Ownership
8.1. Delexo and its licensors own the Software, the Website, the Hooxie and Delexo names and logos, the selection and arrangement of the product, and the copyrights, trade secrets, and other intellectual property in them. This Agreement does not transfer that ownership.
8.2. Cursor, Windows, Stripe, Node.js, and other third-party names are the property of their owners. Mention of Cursor describes a product you may connect. It is not a statement of partnership, sponsorship, or endorsement by Anysphere, Microsoft, or Stripe.
8.3. As between you and Delexo, you keep whatever rights you already have in Input. You grant Delexo only the rights needed to run the Software on your Computer and to handle the billing and support information described in the privacy policy. The Website does not receive the text of your prompts. We do not use your prompts to train a Delexo model.
8.4. Output is produced by an Agent from your Input and from materials the Agent can reach. Rights in Output, if any exist, are unsettled. They may sit with you, with no one, or with a third party whose material is reflected in the Output. To the extent Delexo has any right in Output, we assign that right to you. We do not warrant that Output is original, accurate, safe, non-infringing, or owned by you. You must review it and clear rights before you ship it, publish it, submit it as your own work, or rely on it.
8.5. If you believe you need a trademark license, a press kit, or a written permission beyond section 9, email support@delexo.store. Silence is not permission.
9. Credit
9.1. When you are allowed to show the Software in public, including in a video, stream, post, talk, README, store listing, or product page, give credit a viewer can see. Tag @delexo or link https://hooxie.com. A line such as "Hooxie by Delexo (hooxie.com)" is enough.
9.2. Credit is a condition of a permitted public showing. It is not permission to copy, modify, or sell the Software.
10. Suggestions You Send Us
If you send an idea, a bug report, or a suggestion, you grant Delexo a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose, without further payment or credit, and without treating it as confidential. Do not send material you want kept secret, or material someone else owns. Support mail is still handled as the privacy policy describes. This section does not assign your Input or your project files.
11. Other People's Software
11.1. The Software may include or call third-party components, including Node.js, an optional Cursor SDK, and libraries under their own licenses. Those licenses govern those components. Notices may appear in package metadata or a notices file. If a third-party license conflicts with this Agreement for that component only, the third-party license controls for that component.
11.2. This Agreement does not take away a right an open-source license grants you in a third-party component. It also does not let you remove or defeat the paid-license check and then redistribute that build as Hooxie or as a substitute for a paid license.
11.3. System software, including Windows and Node.js, is licensed by its publisher. You must comply with that license. Delexo is not the licensor of Windows, Node.js, or Cursor.
12. Cursor, Stripe, Windows, and Other Services
12.1. Your use of Cursor is a relationship between you and Cursor's publisher. You must follow Cursor's terms, plan limits, and acceptable-use rules. A Hooxie license does not give you a Cursor seat, a model quota, or an API entitlement. If Cursor suspends you, changes an interface, changes a price, or retains data, that is between you and Cursor. Delexo is not responsible for Cursor's availability, quality, safety filters, data practices, billing, or enforcement decisions.
12.2. Payments are processed by Stripe under Stripe's terms and privacy policy. We do not receive your full payment-card number and we do not store it. You will not type a card number, a card security code, or a bank password into a prompt, a file the Agent will read, or a support email. Stripe may refuse a charge, reverse it, or request information to prevent fraud. You authorize Delexo and Stripe to use the email you enter to send a receipt and to record whether checkout for this Computer completed.
12.3. The Software depends on Windows 10 or Windows 11 and on interfaces those systems provide, including window flags used for Capture exclusion. Microsoft can change capture behavior, graphics settings, audio, and security prompts. We do not control Windows, and a Windows change is not a defect we promised to prevent.
12.4. Voice transcription, models, and screen understanding, when you use them, run through software on your Computer or through the Agent you configure. That provider's terms and privacy policy apply. We are not the model provider and we do not control its outputs.
12.5. A link to a third party is not an endorsement. Your use of a third-party service is at your own risk and may be governed by a contract you, not we, accepted.
12.6. We are not a payment facilitator for anyone but the Hooxie license fee, and we are not a money-services business. The only charge this Agreement covers is the license fee and the tax Stripe adds to it.
13. Keys and Accounts
13.1. You are responsible for every Cursor key, session, and other credential you place where the Software or an Agent can use it. Treat a key in a prompt, a screenshot, a log, or a repository as a key you have chosen to expose.
13.2. If a key is exposed, revoke it with the provider. We cannot revoke a Cursor key for you, and we are not liable for usage charges that result.
13.3. The email you enter at checkout is the address for receipts and for license support. You represent that you are entitled to use it and that notices sent there will reach you. To change it, email support@delexo.store from the address on the receipt.
14. Prompts, Files, Screen, and Voice
14.1. You choose what Input leaves the Computer. When you send a prompt, attach a file, name a project folder, turn on screen context, or use voice, you instruct the Software to pass that Input to the Agent or local function you configured. You represent that you have every right, license, and consent required to do that, including from an employer, a client, a school, and any person whose face, voice, message, or document is included.
14.2. Do not submit material you lack the right to share. That includes another person's secrets, credentials, government identification numbers, payment card data, health information, and material a contract says you must not put into a tool of this kind.
14.3. Voice uses the microphone when you invoke it. You are responsible for notice to, and consent from, anyone else who would be recorded, and for wiretap, eavesdropping, and all-party-consent laws that apply where any participant is located. Those laws include, where they apply, statutes such as the California Invasion of Privacy Act, Florida's two-party consent statute, the Illinois eavesdropping law, and the Pennsylvania wiretap law. You will not secretly record a person where consent is required. You will not use voice to identify or verify a person.
14.4. If a law treats a voiceprint or similar identifier as biometric information, including the Illinois Biometric Information Privacy Act, 740 ILCS 14, where it applies, you will not use the Software to collect a biometric identifier or biometric information of another person without the written consent and the disclosures that law requires. Delexo does not run Hooxie as a biometric identification system and does not keep a database of voiceprints.
14.5. Screen context can include whatever is visible on the display you attach, including other people's messages, faces, and documents. You will not capture a screen, or send a capture to an Agent, unless you are allowed to. You are responsible for a claim that a capture was an unlawful interception, an invasion of privacy, or a breach of confidence.
14.6. We do not use Input to train a Delexo model. The Agent you choose may use Input under its own terms. Read those terms before you send anything sensitive. Once Input is sent to an Agent, we cannot pull it back.
14.7. You will not use the Software to monitor an employee, student, household member, or other person unless you have a lawful basis and you have given any notice the law requires. Hooxie is not an employee-monitoring product, and we do not provide a monitoring policy for you to adopt.
15. What the Agent Does
15.1. An Agent may read files, propose or apply edits, run commands, install or remove packages, delete data, open network connections, and take other actions in the folder and the environment you expose. Those actions can be wrong, destructive, expensive, or insecure. They can spend a Cursor or API balance. They can commit secrets. They can break a build.
15.2. You are solely responsible for reviewing Output before you rely on it, merge it, deploy it, submit it, or let a command run. You will keep backups of work you cannot afford to lose. You will point the Agent only at folders, machines, and credentials you are willing to expose to an automated system that can be wrong.
15.3. Delexo does not watch the Agent, does not approve its edits, and does not promise a particular model, a particular style of code, or a correct result. We do not promise that code will compile, that it will be secure, that its dependencies are legally licensed, or that it meets a specification, a course rubric, or a client's statement of work.
15.4. You will not point the Agent at production systems, live customer data, or broad credentials unless you have authority and you accept the full risk of loss. You will not disable your own safeguards and then treat the result as our failure.
15.5. You acknowledge that automated coding tools are known to invent functions, misread a repository, and suggest code that resembles code the model was trained on. Similarity to someone else's code is your problem to check before you distribute Output.
16. Capture Exclusion
16.1. When Detectable is off, the Software asks Windows to exclude the Hooxie window from standard screen capture. That request is not a security boundary, not encryption of the screen, and not a promise of invisibility. A person in the room, a camera pointed at the monitor, a second computer, a kernel capture driver, a remote-management tool, a non-standard graphics path, a Windows update, or a bug can show the window anyway. Failure can be obvious or silent.
16.2. You must not rely on Capture exclusion to keep the Software secret from anyone who is entitled to see your screen, or from anyone you have promised a complete view of the display.
16.3. You may use Capture exclusion only where you are allowed to keep a window out of a capture. You may not use it to deceive a person or an institution, including during a proctored exam, a monitored assessment, a hiring exercise, a workplace session in which undisclosed assistance or undisclosed software is forbidden, or any other process that requires you to be honest about help you are receiving.
16.4. Delexo does not encourage cheating, misrepresentation of authorship, or evasion of a monitoring control. This Agreement does not authorize those uses. If you use Capture exclusion in a setting where it is forbidden, you do so entirely at your own risk. That risk includes a cancelled score, a withdrawn offer, discipline, termination, loss of a credential, and a claim by a school, an employer, a test administrator, a proctoring vendor, or a platform.
16.5. Delexo is not a party to your school rules, employment contract, exam rules, or client agreement. We have no duty to configure Capture exclusion for a particular proctoring product, to certify that a product cannot see the window, to testify that you did not use the Software, or to take a side in a dispute between you and an institution.
16.6. You will turn Detectable on, or close the Software, whenever a rule that binds you requires the window to be visible or requires the Software not to be running.
17. Acceptable Use
You will not use the Software, and you will not allow an Agent reached through the Software, to do any of the following:
(a) break a criminal or civil law, including privacy law, intellectual-property law, and computer-misuse law such as the Computer Fraud and Abuse Act, 18 U.S.C. section 1030, the United Kingdom Computer Misuse Act 1990, and comparable laws where you or the target system are located;
(b) access, probe, scan, or attack a system, account, or network without the owner's authorization, or exceed authorization you were given;
(c) develop, deliver, improve, or conceal malware, ransomware, exploits, credential theft, or surveillance of a person who has not given a lawful basis for it;
(d) infringe copyright, trademark, patent, trade secret, or another right, or remove another person's license terms from code you distribute;
(e) violate the acceptable-use rules of Cursor, a host, a cloud provider, a school, or an employer;
(f) harass, threaten, defraud, phish, or impersonate a person or an institution;
(g) collect personal data in violation of privacy law, or send a commercial email in violation of the CAN-SPAM Act or a similar anti-spam law;
(h) interfere with the Software's licensing, with Stripe, or with another person's account at a third-party service;
(i) use the Software for a purpose section 19 forbids;
(j) use Output to build or improve weapons, or to support a sanctioned party, in violation of section 33.
You are responsible for Output that does any of those things when it results from your Input, your folder, your credentials, or your instructions, including instructions that were vague or careless. Delexo does not review prompts before they are sent.
18. Schools, Jobs, Exams, and Monitoring
18.1. You alone are responsible for the rules that apply to your work: academic integrity codes, honor codes, exam and assessment rules, professional-conduct rules, employment handbooks, client contracts, and non-disclosure agreements.
18.2. You will not use the Software, an Agent, or Output to present assisted work as unaided work where a rule requires unaided work. You will not use Capture exclusion to hide assistance, a second screen of help, or the Software itself, where you are required to disclose assistance or to show your entire display.
18.3. If an institution, employer, client, platform, or test provider forbids a tool of this kind, you will not use the Software in that setting. Delexo has no liability for an academic penalty, a hiring decision, employment action, loss of a license or credential, or a claim that you misrepresented who did the work.
18.4. If you are a school, an employer, or a test provider, this Agreement does not make Delexo your agent, your proctor, or your investigator. We do not promise the Software will be visible to your monitoring tools.
18.5. You will cover the Covered Persons under section 31 for a claim by a school, employer, testing company, proctoring vendor, professional body, or platform that arises out of your use.
19. Uses We Do Not Allow
19.1. You will not use the Software, and you will not rely on Output, for a high-risk activity where a failure could contribute to death, personal injury, or severe environmental or property damage. That includes medical diagnosis or treatment, operation of a medical device, life support, dispatch of emergency services, control of a vehicle, aircraft, vessel, or drone, air-traffic control, nuclear or chemical facilities, weapons systems, and any other safety-critical control loop.
19.2. The Software is not a medical device and is not regulated as one. It is not a law firm, an accounting firm, a broker-dealer, an investment adviser, or a security-audit firm. Output is not legal, tax, medical, financial, or security advice. A decision that needs a licensed professional needs a licensed professional who is responsible to you. You will not present Output as that advice.
19.3. You will not submit protected health information as defined by the Health Insurance Portability and Accountability Act, or consumer health data regulated by a law such as the Washington My Health My Data Act, where submitting it would make us your business associate or a regulated processor of that data. Delexo is not a covered entity or a business associate for your use. This Agreement is not a business-associate agreement, and we will not sign one for this consumer desktop license.
19.4. You will not use the Software as the system of record for an industry that requires a qualified archive, a certified audit log, or a guaranteed retention period. The Software does not promise retention of your prompts or your Output.
19.5. You will not use the Software in a way that would require Delexo to hold a professional, money-transmitter, or export license we do not hold.
20. Price, Tax, and Promotional Codes
20.1. You agree to pay the total shown at checkout. The ordinary total before tax is 5.99 USD for one Computer. A promotional code or a tax can change what Stripe charges. You authorize Stripe to charge the payment method you submit.
20.2. You are responsible for sales, use, value-added, goods-and-services, and similar transaction taxes on the purchase, other than taxes on Delexo's net income. Stripe may calculate and collect those taxes. If a taxing authority later assesses a transaction tax that should have been collected from you, you will pay it.
20.3. A promotional code is discretionary. It may be rejected, limited, or withdrawn. It is not cash, it is not transferable, and it may not be bought or sold. It applies only as that code allows, and it can change the amount due. The refund window applies to the amount Stripe actually charged.
20.4. If a charge is reversed, charged back, or determined to be fraudulent, the paid license for that Computer ends immediately. We may refuse further licenses associated with that payment method, email, or Device identifier. You will reimburse reasonable costs we incur from a bad-faith chargeback of a charge that section 21 did not require us to refund.
20.5. We may change the price for a future purchase or for a different Computer. A price change does not alter a charge that has already been completed.
20.6. The paid license is a single charge. It does not renew. There is no negative-option enrollment, no free trial that converts into a repeating fee, and no automatic charge later. Laws about automatic renewal and negative-option billing, including the Restore Online Shoppers' Confidence Act, 15 U.S.C. sections 8401 through 8405, and California Business and Professions Code section 17600 and following, are met for this product by the absence of any repeating charge. Nothing in this Agreement signs you up for a subscription.
20.7. A quote, a screenshot of a price, or a code shared by someone other than Delexo is not a price we are required to honor.
21. Refunds
21.1. The refund page at https://hooxie.com/refund is part of this Agreement for how refunds work. If this section and that page disagree about timing or amount, that page controls.
21.2. If the 5.99 USD charge, or the reduced charge you actually paid, was a mistake, email support@delexo.store within 14 days of the charge and include the email on the Stripe receipt. We refund the amount Stripe charged, back through Stripe to the original payment method. Your bank and Stripe control how many days the credit takes. We do not control that timing.
21.3. A refund does not transfer the license to another Computer. When a refund is issued, the paid license ends and you must stop using the paid features on that Computer.
21.4. A mandatory consumer law may give you a longer or broader withdrawal, repair, or refund right. Section 35 preserves those rights. This section does not take away a right that cannot legally be taken away.
21.5. Outside section 21.2 and section 35, fees are non-refundable, including where you changed your mind after the window, where a third-party service such as Cursor did not perform as you hoped, or where Capture exclusion did not defeat a particular tool.
22. Privacy and Data-Protection Laws
22.1. The privacy policy at https://hooxie.com/privacy is part of this Agreement. If this section and that policy disagree about a privacy practice, the policy controls.
22.2. On your Computer, the widget handles prompts, attached files, voice, and screenshots, and can send them to the Agent you configured. The Website does not receive the text of your prompts. Project files are not uploaded to the Hooxie Website as part of ordinary use.
22.3. What we receive is limited: the billing email address, whether the one-time payment for this Computer is complete, the amount, a promotional code Stripe redeems, and messages you send to support. Card numbers go to Stripe, not to us.
22.4. We do not sell personal information. We share it only with the services we use to provide Hooxie, such as Stripe for payment and the Agent you configure, and with the service that delivers a support message. We do not share it further than those services, except where section 22.15 requires a disclosure. We do not share it for cross-context behavioral advertising. We do not place an advertising tracker on the Website for that purpose. We do not use prompts to train a model.
22.5. Where the EU General Data Protection Regulation or the UK GDPR applies, Delexo is controller only of the billing and support information we actually receive. We are not the controller of Input that stays on your Computer or that you send to an Agent. The legal bases for the information we hold are performance of this Agreement, legitimate interests in licensing, fraud prevention, and support, and compliance with legal duties such as tax and accounting. You may request access, correction, erasure, restriction, or portability, and you may object to processing based on legitimate interests, by emailing support@delexo.store. You may lodge a complaint with a supervisory authority. You may withdraw consent where processing is based on consent, without affecting processing that already happened lawfully.
22.6. Stripe may process payment data in the United States and in other countries under Stripe's terms and its own transfer tools. Prompts are not part of a transfer to us, because we do not receive them.
22.7. Where the California Consumer Privacy Act, as amended by the California Privacy Rights Act, applies, the categories we collect are identifiers (an email address), commercial information (amount, promotional code, and whether the Computer is licensed), and the contents of support messages you choose to send. Sources are you and Stripe. Purposes are providing the license, receipts, fraud prevention, refunds, and support. We do not sell or "share" personal information as those words are defined in that law. We do not use or disclose sensitive personal information for purposes that give you a right to limit use beyond what we already avoid. You may request to know, delete, or correct by emailing support@delexo.store. We will verify using the purchase email. We will not discriminate against you for exercising those rights. You may use an authorized agent if you provide the proof that law requires.
22.8. Where another United States state privacy law gives you a right to access, delete, correct, or opt out, and that law applies to us, you may use the same email address. We will honor a right that the statute actually extends to a business of our size and data practices.
22.9. Children's Online Privacy Protection Act, 15 U.S.C. sections 6501 through 6506: the Software and Website are not directed to children under 13, and we do not knowingly collect their personal information. If you believe a child under 13 has provided personal information, email support@delexo.store and we will delete it.
22.10. Where Canada's Personal Information Protection and Electronic Documents Act or a similar provincial private-sector law applies, you may ask for access and correction at support@delexo.store.
22.11. Where Brazil's Lei Geral de Protecao de Dados applies, you may ask for confirmation, access, correction, anonymization, portability, or deletion at the same address, subject to that law and to records we must keep. The bases we rely on, as applicable, are contract, legitimate interest, and legal obligation.
22.12. You are the controller, or the equivalent, of personal data inside your Input and your project files. You will have a lawful basis before you put other people's personal data into the Software, and you will give them any notice their law requires. You will not use us as a processor of that Input. We do not offer a data-processing addendum for prompt contents, because we do not receive those contents on our systems.
22.13. If the GDPR or UK GDPR would require an Article 27 representative and we have not published one, email support@delexo.store and we will give you the current contact. This sentence does not by itself appoint a representative.
22.14. If a law requires us to notify people about a breach of personal information we hold, we will give that notice. Prompts and files that exist only on your Computer, or only at an Agent you chose, are not information we hold.
22.15. We may preserve and disclose information we hold if we believe in good faith that the law, a subpoena, or a court order requires it, or that disclosure is needed to prevent fraud, to enforce this Agreement, or to protect the rights and safety of users and the public. Where the law and the demand allow notice to you, we will try to give it.
22.16. We keep Stripe billing records for as long as Stripe's policy and tax law require. We keep a support thread long enough to answer it and to handle a reasonable follow-up, and longer if a dispute, a chargeback, or a legal duty requires. You may ask us to delete a support thread. We may retain what we need for fraud prevention, a legal claim, or an accounting rule.
23. Electronic Messages
23.1. You consent to notices at the checkout email and by a posting on the Website. Notices include receipts, refund decisions, security messages about the license, and updates to this Agreement.
23.2. The paid license does not include marketing text messages. We do not ask for a phone number to complete the purchase. Stripe sends the payment receipt. A support reply goes to a thread you opened or to the purchase email when the subject is that purchase. Those messages are transactional, not commercial advertisements. If we ever send a commercial email, we will include the identification and the unsubscribe mechanism required by the CAN-SPAM Act, 15 U.S.C. section 7701 and following, and by similar laws.
23.3. You may opt out of a non-transactional message by the link or the instruction in that message. Opting out of a newsletter, if one exists, does not stop receipts or notices about this Agreement.
24. Changes to the Software and Availability
24.1. We may update, change, or remove features, and we may publish a new installer. We do not promise a release schedule, compatibility with every future Windows or Cursor build, or that a workflow you built on today's behavior will keep working.
24.2. An outage or a breaking change in Windows, Node.js, Cursor, Stripe, a model provider, a certificate, or a network is not a breach by Delexo and is not by itself a ground for a refund outside section 21 and section 35.
24.3. You may stop using the Software at any time by uninstalling it. There is no subscription to cancel. Stopping use does not by itself refund a charge.
24.4. We may discontinue the Software. If we discontinue it entirely within 14 days after your charge, you may ask for a refund under section 21. After that, discontinuation of a desktop tool you already run locally is not a refund event, because the copy on the Computer can keep running subject to this Agreement and to the third parties it depends on.
25. Experimental Features
A feature labeled preview, beta, experimental, or unfinished is for evaluation. It may fail, change, or disappear. Sections 28 and 29 apply to it with their full force. Do not put work you cannot lose in front of an experimental feature.
26. The Local Listener
26.1. The overlay listens on the loopback interface at http://127.0.0.1:47321 unless a build documents a different local port. Loopback is intended to be reachable from processes on your own Computer, not from the public Internet.
26.2. You will not forward that port, tunnel it, bind it on a public interface, or weaken a firewall so that another machine can drive your Agent. If you do, you are responsible for every resulting action, including commands run in your folders, data sent to an Agent, and charges on your Cursor account.
26.3. You are responsible for the physical and account security of the Computer and for the network you join. We do not provide endpoint protection, and the local listener is not an authentication boundary against other local users of the same machine.
27. Your Promises
You represent, warrant, and agree that:
(a) checkout information you submit is accurate and current;
(b) you have the authority section 2 requires, and you meet the age requirement;
(c) you have the rights and consents section 14 requires for your Input, your screen, and your microphone;
(d) your use will comply with this Agreement and with the laws that apply to you;
(e) you will not use Capture exclusion to mislead a party who is entitled to see the screen or to whom you owe a disclosure;
(f) you are not a person section 33 prohibits, and you will not use the Software for the benefit of such a person;
(g) you have not relied on a statement that is not written in this Agreement, the privacy policy, or the refund policy when you decided to pay.
28. No Warranty
28.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE, THE WEBSITE, CAPTURE EXCLUSION, OUTPUT, UPDATES, AND SUPPORT ARE PROVIDED "AS IS" AND "AS AVAILABLE." DELEXO AND ITS LICENSORS DISCLAIM EVERY WARRANTY, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM A COURSE OF DEALING OR A USAGE OF TRADE.
28.2. WITHOUT LIMITING SECTION 28.1, DELEXO DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, OR SECURE; THAT IT WILL WORK WITH EVERY WINDOWS BUILD, GRAPHICS DRIVER, CAPTURE TOOL, PROCTORING TOOL, REMOTE-DESKTOP TOOL, OR AGENT; THAT OUTPUT WILL BE CORRECT, COMPLETE, ORIGINAL, OR NON-INFRINGING; THAT AN EDIT OR A COMMAND WILL BE SAFE; THAT CAPTURE EXCLUSION WILL HIDE THE WINDOW FROM ANY PERSON OR ANY TOOL; THAT DEFECTS WILL BE CORRECTED; OR THAT THE PAID LICENSE WILL MEET YOUR NEEDS OR PASS A COURSE, AN INTERVIEW, OR A REVIEW.
28.3. YOU ACCEPT THE ENTIRE RISK OF QUALITY, PERFORMANCE, AND RESULTS. YOU HAVE NOT RELIED ON ANY REPRESENTATION THAT IS NOT IN THIS AGREEMENT.
28.4. THE REFUND PAGE IS A CONTRACT REMEDY FOR A MISTAKEN CHARGE INSIDE A STATED WINDOW. IT IS NOT A WRITTEN WARRANTY OF PERFORMANCE UNDER THE MAGNUSON-MOSS WARRANTY ACT. TO THE EXTENT ARTICLE 2 OF THE UNIFORM COMMERCIAL CODE, OR A SIMILAR SALES LAW, APPLIES TO THE SOFTWARE, THE PARTIES AGREE THAT THE SOFTWARE IS LICENSED AS IS AND THAT IMPLIED WARRANTIES ARE DISCLAIMED TO THE MAXIMUM EXTENT THAT LAW ALLOWS.
28.5. SOME PLACES DO NOT ALLOW A PARTICULAR DISCLAIMER. IN THOSE PLACES, THE DISCLAIMERS APPLY ONLY AS FAR AS THE LAW ALLOWS, AND YOU MAY HAVE RIGHTS THAT CANNOT BE EXCLUDED. SECTION 35 KEEPS THOSE RIGHTS IN PLACE.
29. Limit on Our Liability
29.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DELEXO AND ITS OWNERS, CONTRACTORS, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, OR FOR BUSINESS INTERRUPTION, COST OF SUBSTITUTE GOODS OR SERVICES, MODEL OR API CHARGES, A FAILED OR CANCELLED EXAM, A LOST GRADE, A LOST JOB OR OFFER, WORKPLACE OR ACADEMIC DISCIPLINE, LOSS OF A CREDENTIAL, OR REPUTATIONAL HARM. THIS EXCLUSION APPLIES WHETHER OR NOT WE WERE TOLD THE LOSS WAS POSSIBLE, AND WHETHER THE CLAIM SOUNDS IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANY OTHER THEORY.
29.2. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THOSE PERSONS FOR ALL CLAIMS ARISING OUT OF ONE COMPUTER'S LICENSE, THE SOFTWARE, AND THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID DELEXO FOR THAT COMPUTER'S PAID LICENSE. IF YOU PAID NOTHING, THAT CAP IS ZERO, EXCEPT WHERE A LAW REQUIRES A DIFFERENT FLOOR.
29.3. THESE LIMITS ARE A BASIC PART OF THE BARGAIN. THE PRICE OF THE LICENSE REFLECTS THEM. THEY SURVIVE AND APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SEVERAL CLAIMS DO NOT STACK INTO SEVERAL CAPS. ONE COMPUTER, ONE CAP.
29.4. THE CAP AND THE EXCLUSIONS DO NOT APPLY TO A LIABILITY THE LAW DOES NOT ALLOW US TO LIMIT. THAT CAN INCLUDE, WHERE THE STATUTE SO REQUIRES, LIABILITY FOR FRAUD, FOR WILLFUL MISCONDUCT, OR FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE. THE CAP DOES NOT LIMIT YOUR DUTY TO PAY FEES YOU OWE OR YOUR DUTY TO INDEMNIFY UNDER SECTION 31.
29.5. IF A TRIBUNAL REFUSES TO ENFORCE A LIMIT IN THIS SECTION, THAT LIMIT IS REDUCED ONLY AS FAR AS NEEDED TO MAKE IT ENFORCEABLE, AND THE REST OF THIS SECTION STAYS IN EFFECT. OUR LIABILITY IN THAT CASE WILL NOT EXCEED THE SMALLEST AMOUNT THE LAW ALLOWS US TO SET.
30. Risks You Accept, and Release
30.1. You understand the risks in sections 15, 16, and 18, including corrupted or deleted files, a command you did not mean to run, disclosure of Input to an Agent, a Cursor bill, a Capture exclusion that fails, and a decision by a school, an employer, or a testing service. You voluntarily accept those risks.
30.2. To the maximum extent permitted by law, you release Delexo and its owners, contractors, and suppliers from claims, known or unknown, arising out of those risks and out of your decision to use the Software in a particular folder, course, job, interview, or exam. If you are a California resident, or a resident of a place with a similar rule, you waive California Civil Code section 1542, which says that a general release does not extend to claims the releasing party does not know or suspect to exist at the time of the release and that, if known, would have materially affected the settlement. You waive every similar statute.
31. Your Duty to Defend and Cover Us
31.1. You will defend, indemnify, and hold harmless Delexo and its owners, directors, officers, contractors, and agents (the "Covered Persons") from and against every claim, demand, action, loss, damage, liability, cost, fine, penalty, and reasonable attorney's fee arising out of or related to any of the following:
(a) your Input or your Output, including a claim that Output infringes a right or was submitted as your unaided work;
(b) your use or misuse of the Software, including an Agent edit, a command, a deleted file, or a disclosure of data;
(c) your use of Capture exclusion, or any allegation that you hid software, hid assistance, cheated, or broke an honor code, an exam rule, an employment rule, a client rule, or a platform rule;
(d) your breach of this Agreement or of a law that applies to your use;
(e) your breach of a third party's terms or rights, including Cursor's terms, a confidentiality agreement, a privacy right, or an intellectual-property right;
(f) a dispute between you and a school, an employer, a proctor, a platform, a client, or another user of your Computer;
(g) your decision to expose the local port, a credential, or the Computer;
(h) a transaction tax or similar governmental charge on your purchase, other than income tax imposed on Delexo;
(i) a claim by a person whose voice, image, or personal data you captured or submitted without a required consent.
31.2. We will give you notice of a claim we ask you to cover. A delay in notice limits your duty only to the extent the delay materially harms your defense. You may not settle a claim in a way that admits fault by a Covered Person, imposes an obligation other than money on a Covered Person, or does not fully release the Covered Persons, unless we consent in writing first. We may participate with our own lawyer at our own expense. We may take over the defense if you refuse it or if the claim is one where the Covered Persons' interests are not fully aligned with yours. You will cooperate in the defense, including by providing the facts of how the Software was used.
31.3. Your duty in this section is not the exclusive remedy for a breach, and it survives the end of the license. It does not require you to indemnify a Covered Person against a final award that the Covered Person's own fraud or willful misconduct was the sole cause of the claim, to the extent the law forbids that indemnity.
32. Injunctions
A breach of section 6, 7, 8, 16, or 17 can cause harm that money will not fix, including harm to the licensing system and to intellectual property. Delexo may ask a court for an injunction or other equitable relief to stop that breach or a threatened breach, without first completing the arbitration in section 37 and without posting a bond to the extent a court may waive the bond. Seeking that relief does not waive arbitration of money claims.
33. Export Control and Sanctions
33.1. The Software is subject to United States export-control and sanctions laws, including the Export Administration Regulations, 15 C.F.R. parts 730 through 774, and the sanctions programs administered by the Office of Foreign Assets Control, and it may be subject to similar laws of other countries.
33.2. You represent that you are not, and you are not acting for, a person on a denied-party, entity, or sanctions list, and that you are not located in, and will not use or transfer the Software from or for the benefit of, a country or territory subject to a comprehensive United States embargo. You will not export, re-export, download, or use the Software in violation of those laws.
33.3. You will not use the Software in connection with the development, production, or use of missiles, chemical or biological weapons, or nuclear maritime or nuclear end uses, where the applicable control list or sanction forbids that activity.
33.4. If a law, a license condition, or a government direction requires us to stop providing the Software to you, we may end the license immediately without a refund, except where a mandatory consumer law requires otherwise for a charge already collected for software you never received.
34. United States Government End Users
The Software is "commercial computer software" and "commercial computer software documentation," as those terms are used in 48 C.F.R. section 2.101. United States government end users acquire only the rights granted to other licensees in this Agreement, under FAR 12.212 and DFARS 227.7202, as applicable. Contractor and manufacturer: Delexo, support@delexo.store. If a government contract requires a different clause, that clause must be in a separate written addendum signed by Delexo before it binds us. This consumer license is not that addendum.
35. Rights a Statute Will Not Let You Waive
35.1. Some laws do not allow a disclaimer, a liability cap, a shortened claims period, a class waiver, or a pre-dispute arbitration clause, especially for consumers. If you have such a right, the conflicting term in this Agreement applies only as far as that law allows, and the rest of the Agreement stays in effect.
35.2. If you are a consumer habitually resident in the European Economic Area or the United Kingdom, you keep every non-waivable right under the law of your country of residence. That includes rights in digital content under the Consumer Rights Act 2015 where it applies, and under the rules that implement Directive (EU) 2019/770 where they apply: the content must match a description we are legally responsible for, meet a particular purpose you made known and we accepted, and be supplied with reasonable skill and care. A failure of those duties is handled as that statute requires, and sections 28 and 29 yield to the statute where they must.
35.3. If you are such a consumer, you may have a 14-day right to withdraw from a distance contract. You may ask us to supply the Software during that period. For digital content not supplied on a tangible medium, the withdrawal right can end once supply starts, if you gave prior express consent and you acknowledged that you would lose the right. Installing the Software or completing checkout is that request, that consent, and that acknowledgement, to the extent the law gives effect to them. If the right has not ended, email support@delexo.store within 14 days of the contract. We will refund as that law requires. You may also use your local European Consumer Centre or the corresponding United Kingdom consumer service. The former European Online Dispute Resolution platform has been discontinued, and this Agreement does not rely on it.
35.4. If the Australian Consumer Law applies, our goods and services come with guarantees that cannot be excluded under that law. For a major failure with the service, you are entitled to cancel the service and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to choose a refund or replacement for a major failure with goods. If a failure does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time, and if that is not done you may reject the goods or cancel the service and obtain a refund of the unused portion. You are also entitled to be compensated for any other reasonably foreseeable loss or damage from a failure in the goods or service. Where the law allows us to limit liability for breach of a guarantee, and the goods or services are not of a kind ordinarily acquired for personal, domestic, or household use or consumption, our liability is limited, at our option, to the resupply of the Software or the payment of the cost of resupply.
35.5. If you acquire the Software in trade and the New Zealand Consumer Guarantees Act 1993 would otherwise apply, you and Delexo agree that the Act does not apply, to the extent the parties are allowed to contract out of it. If you acquire the Software as a consumer, the Act applies where it must, and nothing in this Agreement excludes a guarantee the Act forbids us to exclude.
35.6. A consumer resident in Quebec, or in another place whose statute forbids a particular choice of law, choice of court, limitation, or arbitration clause, keeps that mandatory protection. The rest of this Agreement continues to apply.
36. Copyright and Intellectual-Property Complaints
36.1. If you believe material we host on the Website infringes a copyright you own or control, email a notice to support@delexo.store that includes: a physical or electronic signature of the rightsholder or a person authorized to act for them; identification of the copyrighted work; identification of the material claimed to infringe and information reasonably sufficient for us to find it; your name, mailing address, telephone number, and email address; a statement that you have a good-faith belief that the use is not authorized by the owner, the owner's agent, or the law; and a statement, under penalty of perjury, that the information is accurate and that you are authorized to act.
36.2. That address is the contact for these notices. Stating the process here does not by itself mean an agent has been designated with the United States Copyright Office under 17 U.S.C. section 512(c). If a designation is filed, the Office's directory entry is the designation. A notice that omits a required element may be ineffective under that statute.
36.3. We may remove or disable material, and we may refuse further material from a person who is the subject of repeated valid notices. If you believe a removal was a mistake, you may send a counter-notice containing the elements required by 17 U.S.C. section 512(g). We may restore material if the statute's conditions are met.
36.4. This section is not legal advice about whether your use of Output is a fair use or a permitted use. That judgment is yours.
37. Disputes, Individual Arbitration, and Class Waiver
37.1. Talk to us first. Before starting arbitration or a court case, the complaining party will email a notice. Yours goes to support@delexo.store with the subject line "Dispute," the purchase email, a short description of the claim, and the relief you want. Ours goes to the purchase email. The parties will try in good faith to resolve the dispute for 30 days after the notice is received. Either party may still seek relief under section 32 during those 30 days. This notice requirement does not bar you from a consumer agency or a small-claims filing that a mandatory law lets you make without prior notice, but you agree to send the notice when the law allows us to ask for it.
37.2. If the dispute is not resolved in those 30 days, you and Delexo agree to binding individual arbitration, except that either party may bring an individual action in small-claims court if the claim stays in that court and qualifies. The dispute will not be decided by a judge or a jury except as this section allows.
37.3. The Federal Arbitration Act, 9 U.S.C. section 1 and following, governs this arbitration agreement, including its formation and enforcement. The arbitrator decides disputes about whether this section applies to a particular claim, except that a court decides any dispute about whether the class waiver is enforceable, and a court may grant the relief in section 32.
37.4. The arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules if you are using the Software for personal or household use, and otherwise under its Commercial Arbitration Rules. The rules are published at https://www.adr.org. If the AAA cannot or will not administer the case, the parties will pick another established administrator, and if they cannot agree, a court may appoint one. The arbitration will be held by video, by telephone, or on written submissions. An in-person hearing, if the rules require one, will be in the county where you live or in another place you and we agree. The arbitrator may award any individual relief a court in that place could award on an individual claim, including individual injunctive relief needed to resolve your own claim. The arbitrator may not preside over a class, a consolidated set of claimants, or a representative action, and may not award relief for anyone who is not a named party.
37.5. CLASS WAIVER AND JURY WAIVER. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND DELEXO EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, A CLASS ARBITRATION, A COLLECTIVE ACTION, OR A REPRESENTATIVE ACTION, INCLUDING A PRIVATE ATTORNEY-GENERAL ACTION. CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY. If a court refuses to enforce this waiver for a particular remedy, such as a public injunctive claim that the law says cannot be waived, that remedy alone may be sought in court, and the rest of the dispute stays in individual arbitration. If a court refuses to enforce the waiver as to the claim itself, the claim proceeds in court under section 38, and the other claims stay in arbitration.
37.6. You may opt out of section 37.2 through section 37.5 by emailing support@delexo.store within 30 days after you first accept this Agreement. The subject line must be "Arbitration opt-out." Include your full name and the purchase email. An opt-out does not change any other section, including the warranty disclaimer, the liability cap, and the indemnity. If you opt out, or if this arbitration agreement is found not to apply to you, section 38 is the forum for court claims. Opting out for one person does not opt out an organization, and opting out for an organization must be sent by an authorized representative.
37.7. If you are a consumer living in a country or a state that forbids pre-dispute arbitration agreements or class waivers with consumers, this section yields to that prohibition, and you may bring an individual claim in the courts of your place of residence.
37.8. If you are a consumer, the AAA consumer fee schedule applies, and we will pay the filing and arbitrator fees that those consumer rules require the business to pay. Each party otherwise bears its own attorney's fees and costs unless a statute or the rules require a different allocation. We will not seek our attorney's fees against a consumer unless the arbitrator finds that the claim was frivolous or brought for an improper purpose, and a statute allows the award.
37.9. The arbitrator will issue a reasoned written decision sufficient for a court to enter judgment. Judgment on the award may be entered in any court with jurisdiction. The arbitration and the filings are confidential except as needed to prepare the case, to obtain judgment, to complain to a regulator, or as the law requires. Confidentiality does not stop you from talking with a government agency.
37.10. Nothing in this section stops either party from reporting a matter to a government authority, or stops you from filing a charge or complaint with a consumer-protection agency. Those agencies can sometimes act for the public. This section does stop a private representative action to the extent section 37.5 is enforceable.
38. Governing Law and Courts
38.1. Except where section 35 or section 37 requires something else, this Agreement is governed by the laws of the State of Delaware and by the federal laws of the United States that apply, without regard to conflict-of-law rules that would choose another place's law. The Federal Arbitration Act preempts state law to the extent it applies to section 37. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
38.2. Subject to section 37, the state and federal courts located in the State of Delaware are the exclusive venue for a court proceeding arising out of this Agreement, and each party consents to personal jurisdiction and venue there. A consumer may instead sue in the courts of the consumer's place of residence where a mandatory consumer law requires that option. Delexo may seek relief under section 32 in any court that has jurisdiction over the defendant.
38.3. If we post a different home-jurisdiction sentence on https://hooxie.com/license, that sentence replaces section 38.1 and section 38.2 for acceptances after the post's effective date. It does not change the Federal Arbitration Act's role in section 37.
39. How Long You Have to Bring a Claim
To the maximum extent permitted by law, a claim arising out of this Agreement or the Software must be filed within one year after it accrued, or it is permanently barred. A mandatory consumer statute that requires a longer period controls for a consumer to the extent it must. This section does not shorten a period the law says cannot be shortened, including a period for a claim of fraud that the law protects.
40. When the License Ends
40.1. You may end this Agreement at any time by uninstalling the Software and stopping all use. A refund still has to qualify under section 21 or section 35.
40.2. We may suspend or end the license if you materially breach this Agreement, if a payment is reversed, or if the law requires us to stop. If the breach can be cured and it is not one of the kinds listed in the next sentence, we will email the purchase address and give you 10 days to cure. We may end the license immediately, without a cure period, if the breach is willful, if it involves fraud or a chargeback, if it bypasses or attacks the license check, if it exposes us or another person to legal risk that a cure period would make worse, or if we are required by law to stop at once.
40.3. When the license ends, your right to run the Software stops, and you will delete copies in your possession or control, except a copy you must keep to comply with a legal record-keeping duty. The end of the license does not entitle you to a refund except under section 21 or section 35. Sections that by their nature should continue remain in force, including sections 6, 7, 8, 9, 14, 15, 16, 17, 18, 19, 22, 28, 29, 30, 31, 32, 33, 37, 38, 39, 42, and 43.
41. Changes to This Agreement
41.1. We may update this Agreement by posting a new version at https://hooxie.com/license with a new effective date. If you already have a paid license and the change is material, the new version will say that it is a change, and the page will show the effective date before it applies.
41.2. If you do not agree to a material change, stop using the Software before the new effective date and email support@delexo.store with the subject "Reject agreement update" and the purchase email. We will treat that as the end of the license under section 40.1. If a mandatory law gives you an additional right to reject a change, that right also applies. Continued use after the effective date is acceptance of the new version.
41.3. A change does not rewrite a charge that was already completed, except where the law requires. The version you accepted at install continues to cover that installed copy until you accept a later version by continued use or by a new install.
42. Assignment
You may not assign or transfer this Agreement or a paid license, including by operation of law, without our prior written consent, except that a company you control may use the licensed Computer in the ordinary way section 6 already allows. Any other attempt to transfer a license, including selling a used Computer with the paid features held out as transferable, does not transfer the license unless we consent. We may assign this Agreement to an affiliate or to a successor of the business that publishes Hooxie. This Agreement binds permitted successors.
43. General
43.1. Entire agreement. This Agreement, the privacy policy, the refund policy, and the terms of service at https://hooxie.com/terms are the whole agreement between you and Delexo about the Software. They replace earlier oral and written statements on that subject, including statements in a demo, a chat, or an advertisement. If the terms of service conflict with this Agreement, this Agreement controls. If the privacy policy conflicts on a privacy practice, the privacy policy controls. If the refund policy conflicts on the timing or amount of a refund, the refund policy controls.
43.2. Earlier attribution license. Before the effective date of this Agreement, some copies of the source were offered under the Delexo Attribution License, a permissive license that allowed broad use if Delexo received visible credit. If you already received a copy under that license, that license continues to govern that copy. It does not govern a later version, an installer, the Website, or a paid license obtained under this Agreement, and it does not permit a bypass of the license check on a build that this Agreement covers. This Agreement does not try to revoke a permission that earlier license already gave for a copy already received under it.
43.3. Severability. If a provision is held unenforceable, a court or arbitrator will modify it to the smallest extent that makes it enforceable, or will sever it if modification is not possible. The rest of the Agreement stays in effect. Section 37 contains its own rule for the class waiver.
43.4. No waiver. A failure or a delay in enforcing a provision is not a waiver. A waiver must be specific and in writing to bind the party giving it. A waiver on one occasion is not a waiver on the next.
43.5. Interpretation. Headings are for convenience only. The word "including" means "including without limitation." "Or" is inclusive unless the sentence says otherwise. This Agreement is in English. A translation, if we publish one, is for convenience, and the English text controls if they differ. No rule that construes a contract against the drafter applies. "Will" and "shall" both mean a duty. A reference to a statute includes that statute as amended and any successor statute. A reference to "days" means calendar days unless the sentence says business days.
43.6. Independent parties. You and Delexo are independent contractors. This Agreement does not create a partnership, a joint venture, a franchise, an employment relationship, or an agency. Neither party can bind the other. There are no third-party beneficiaries except the Covered Persons, who may enforce sections 29, 30, and 31.
43.7. Notices to you may be sent to the purchase email or posted on the Website, and they are effective when sent or posted. Notices to Delexo under this Agreement must be emailed to support@delexo.store and are effective when we receive them. If a statute requires a postal address for a particular kind of notice and this page does not print one, we will provide a current postal address for that statutory purpose on written request. A consumer in California may also write to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or telephone (800) 952-5210 or (916) 445-1254.
43.8. Export of the dispute. You will bring a private claim only in the forum section 37 or section 38 allows.
43.9. Reservation of remedies. Our rights are cumulative except where this Agreement says a remedy is exclusive. We are not obliged to monitor prompts, Capture exclusion, or Agent actions. If we choose to investigate a reported abuse, that choice does not create a duty to investigate the next report.
43.10. Headings of mandatory notices. Where this Agreement restates a statutory guarantee, including in section 35.4, the restatement is there to meet a disclosure practice. It does not reduce the statute.
44. Events Outside a Party's Control
Neither party is in breach for a delay or a failure caused by an event beyond its reasonable control, including a failure or a policy change of Cursor, Stripe, a model provider, Windows, a certificate authority, or a public network, and including a change in law, a labor disruption not limited to that party's own employees, a natural disaster, a utility failure, or an act of government. The affected party will make a reasonable effort to limit the effect and to resume. This section does not excuse your duty to pay for a license that was delivered, and it does not excuse your duty to keep backups or to decide what Input to send.
45. Accessibility of This Text
We publish this Agreement as a single HTML page with headings so it can be navigated, and we show the same substance in the installer before the Software is set up. If you need this Agreement in a different format because of a disability, email support@delexo.store before you are required to accept it, and we will work with you on a reasonable alternative for the acceptance step. Requesting another format does not by itself extend a refund window that has already closed.
